Terms of Service

These Terms govern your use of the Trillion marketplace platform. By creating an account or using the platform you agree to these Terms.
1. The Platform
Trillion operates a B2B marketplace that connects Buyers and Suppliers of industrial capacity (warehouse space, machine time, commercial kitchens, equipment rental, manufacturing and related assets). Trillion is a marketplace intermediary; it is not a party to any transaction between Buyer and Supplier. Trillion does not guarantee performance and does not warrant the quality, legality, availability, safety or suitability of any listed capacity.
2. Eligibility & Accounts
- You must be a business or authorised representative of a business and at least 18 years old.
- You are responsible for the accuracy of your account information and the security of your credentials.
- You are responsible for activity that occurs under your account.
3. User Responsibilities & Prohibited Conduct
You will not:
- List capacity you are not entitled to provide, or post false, misleading, or unsafe listings;
- Use the Platform to violate any law, sanction, export control or third-party right;
- Reverse engineer, scrape, overload or interfere with the Platform;
- Circumvent the Platform Fee or the anti-circumvention clause of the Marketplace Capacity Agreement (see §6);
- Harass, defraud, or attempt to extract personal data from other users;
- Misrepresent verification status, insurance coverage or licences.
4. Account Suspension & Termination
Trillion may suspend or terminate any account, remove any listing, or refuse service at its discretion if it reasonably believes you have breached these Terms, the Marketplace Capacity Agreement, applicable law, or have engaged in conduct harmful to other users or the integrity of the Platform. Outstanding obligations (including any Platform Fee owed) survive suspension and termination.
5. Fees
Trillion charges a 5% Platform Fee on the gross contract value of every closed transaction. Posting listings, browsing, messaging and accepting inquiries are free. The Platform Fee is shown on every contract before signature.
6. Anti-Circumvention
If you are introduced to a counterparty through Trillion, you agree that for twenty-four (24) months from that Introduction any transaction with that counterparty for the same or substantially similar capacity will be booked through the Platform. Off-Platform Transactions during that period remain subject to the 5% Platform Fee. Full terms, including liquidated damages of 2× the Platform Fee for knowing evasion, are in §4 of the Marketplace Capacity Agreement.
7. Intellectual Property
Trillion, the Trillion marks, the Platform and its software are owned by Trillion. You retain ownership of content you upload but grant Trillion a non-exclusive, worldwide, royalty-free licence to host, display and distribute that content as needed to operate the Platform.
8. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Trillion disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Trillion does not warrant that the Platform will be uninterrupted, error-free or secure, or that any listing, counterparty or transaction will meet your requirements.
9. Limitation of Liability
To the maximum extent permitted by law, Trillion's aggregate liability to you arising out of or in connection with the Platform is limited to the Platform Fees actually paid by you to Trillion in the twelve (12) months preceding the claim. Trillion is not liable for indirect, special, incidental, consequential or punitive damages.
10. Indemnity
You will indemnify, defend and hold harmless Trillion against third-party claims arising from your use of the Platform, your listings, your transactions with counterparties, or your breach of these Terms or applicable law.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA. Disputes follow the three-step process in §8 of the Marketplace Capacity Agreement: direct negotiation, Trillion mediation, then binding AAA arbitration in Wilmington, Delaware. A small-claims carve-out is preserved.
12. Changes
Trillion may update these Terms by posting a revised version with an updated effective date. Material changes will be notified to account holders. Continued use of the Platform after the effective date constitutes acceptance.
